2. Services

The KPS Group provides fractional COO services, operational consulting, and oversight of subsidiary brands including Modern Brands, Modern Consulting, Modern Ledger, Modern Pay, and Modern Stack.

• Business operations consulting
• Financial cleanup and bookkeeping services
• Payroll processing and compliance
• Technology and IT infrastructure solutions
• Branding and web development services

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information in a timely manner
• Pay all fees according to the agreed payment schedule
• Maintain confidentiality of proprietary methodologies and processes

4. Payment Terms

Payment terms are established in individual service agreements. Generally, payments are due within 30 days of invoice date. Late payments may incur additional fees as specified in the service agreement.

5. Confidentiality

The KPS Group maintains strict confidentiality regarding all client information and business operations. We do not share client information with third parties without explicit consent, except as required by law.

6. Limitation of Liability

The KPS Group's liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages arising from the use of our services.

7. Termination

Either party may terminate services with 30 days written notice. Upon termination, all outstanding fees become immediately due and payable.
